Welcome to ActionX ("the Platform" or "we"), a commerce infrastructure service for AI agents provided at www.actionx.top. Before you register, access, or use the Platform and any related services (including but not limited to APIs, SDKs, and documentation), please read this Terms of Service ("the Terms") carefully. By registering, logging in, or otherwise using the Services, you acknowledge that you have read, understood, and accepted all the terms and conditions set forth herein.

I. Scope of the Terms

These Terms apply to all services and functions provided by ActionX at www.actionx.top, as well as to any future updates, rules, or operational guidelines that may be announced by the Platform from time to time.

II. Account and Eligibility

(1) You must be at least 18 years old and have full legal capacity to use the Services. If you are a minor, you must use the Services under the consent and supervision of your legal guardian.

(2) You must provide true, accurate, and complete registration information and keep it up to date. You are solely responsible for maintaining the security of your account credentials and API keys, and for all activities that occur under your account.

III. Services

ActionX provides commerce infrastructure and API services that enable AI agents to perform transactions, process payments, and interact with e-commerce platforms. The Platform reserves the right to modify, suspend, or terminate part or all of the Services at any time without prior notice.

IV. User Conduct and Prohibited Activities

You agree to comply with all applicable laws and these Terms when using the Services. You must not use the Platform for any illegal, infringing, or improper purpose, including but not limited to:

(1) Conducting fraudulent transactions or money laundering activities; (2) Using the Platform to facilitate illegal sales, scams, or unauthorized access to third-party systems; (3) Attempting to reverse engineer, decompile, or extract source code from our APIs or services; (4) Exceeding rate limits or attempting to overload our infrastructure; (5) Using protected materials or violating intellectual property rights; (6) Engaging in any other actions that violate applicable laws, regulations, these Terms, or public order.

If you violate these Terms, ActionX reserves the right to take actions including but not limited to: warnings, API access restrictions, account suspension or termination, and reporting to authorities. The Platform shall not be liable for any losses or damages arising therefrom.

V. API Usage and License

(1) You are granted a limited, non-exclusive, non-transferable license to access and use our APIs in accordance with these Terms and our API documentation.

(2) You are solely responsible for any transactions, data, or content processed through the Platform and must ensure compliance with applicable laws and regulations.

(3) We reserve the right to monitor API usage, enforce rate limits, and suspend access if we detect abuse or violations of these Terms.

VI. Fees and Payment

(1) Certain features or API usage may be subject to fees as described in our pricing documentation. You agree to pay all applicable fees.

(2) All fees are non-refundable unless otherwise stated. We reserve the right to modify our pricing at any time with reasonable notice.

VII. Disclaimer and Limitation of Liability

(1) The Services are provided "AS IS" and "AS AVAILABLE" without any express or implied warranties, including but not limited to those of merchantability, fitness for a particular purpose, or non-infringement.

(2) You are solely responsible for all legal consequences arising from your use of the Platform. Any legal claims, penalties, or disputes caused by your use shall be borne by you.

(3) To the fullest extent permitted by law, ActionX and its affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or related to your use or inability to use the Services. The Platform's total liability shall not exceed the greater of (a) the amount you paid for the Services within 12 months before the claim, or (b) USD $100.

VIII. Intellectual Property

(1) ActionX retains full ownership and intellectual property rights over its products, software, APIs, designs, interfaces, trademarks, and documentation. You may not copy, modify, or use such materials without prior written consent.

(2) Users must ensure they have authorization for any third-party materials or services integrated with the Platform.

IX. Privacy and Data Protection

The Platform attaches great importance to personal data protection. Your personal data will be processed and protected in accordance with our Privacy Policy. We will not sell or disclose your personal information without consent, except as required by law.

X. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States. In the event of any dispute, both parties shall first attempt to resolve it amicably through consultation. If no agreement can be reached, either party may submit the dispute to the competent court.

XI. Miscellaneous

(1) The Platform may update these Terms at any time. Updated Terms take effect immediately upon publication on the website. Continued use of the Services constitutes your acceptance of the new Terms.

(2) If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
